1. EZ DZL Service Overview

The Service is a platform that allows truck drivers, fleet operators, and other commercial vehicle users (each, a "Purchaser") to discover and purchase fuel from participating fuel stations ("Fuel Stations") at discounted prices. When a Purchaser makes a purchase of fuel through the Service, EZ DZL facilitates the transaction and discount application at the selected Fuel Station. Fuel Stations are the sellers of all fuel purchased through our platform and are solely responsible to you for the quality and delivery of the fuel provided. Operators of Fuel Stations that participate in the Service are referred to in these Terms as "Merchants".

Our Service includes real-time fuel price discovery, route optimization, payment processing, transaction history, IFTA reporting tools, and fleet management features.

2. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations.

If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

3. Accounts and Registration

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with information about yourself, such as your name, email address, phone number, and payment information. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times.

You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, then you must immediately notify us at support@ezdzl.com.

4. Payment Terms and Fuel Transactions

4.1 Pricing and Discounts

EZ DZL provides access to discounted fuel prices at participating Fuel Stations. Discount amounts and availability may vary by location, fuel type, and time. We reserve the right to modify discount structures and pricing with advance notice where required by law.

4.2 Payment Processing

You authorize EZ DZL and our payment processors to charge all sums for fuel purchases that you make through the Service, including all applicable taxes, to the payment method specified in your account. We may seek pre-authorization of your payment method prior to your purchase to verify validity and available funds.

4.3 Account Credits and Balances

EZ DZL may provide account credits for promotional purposes or refunds. Credits are redeemable solely for fuel purchases through the Service and cannot be cashed out unless required by applicable law.

4.4 Fuel Purchase Policy and Dispute Resolution

EZ DZL provides a comprehensive dispute resolution process to address any concerns about fuel purchases, billing, or service quality. If you have a dispute regarding any transaction, you must:

• Submit your dispute through our platform within 30 days of the transaction
• Provide detailed information about the nature of your dispute
• Allow us reasonable time to investigate and respond
• Cooperate with our investigation by providing any requested documentation

Chargeback Prohibition: You expressly agree not to initiate chargebacks with your payment card issuer for any transactions made through our Service. Instead, you must use our internal dispute resolution process. Any unauthorized chargeback may result in immediate account suspension, termination of service, and potential legal action to recover damages.

5. License and Restrictions

5.1 Limited License

Subject to your complete and ongoing compliance with these Terms, EZ DZL grants you, solely for your personal or business use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use one object code copy of any mobile application associated with the Service on devices that you own or control; and (b) access and use the Service.

5.2 License Restrictions

You may not: (a) reproduce, distribute, publicly display, or publicly perform the Service; (b) make modifications to the Service; (c) interfere with or circumvent any feature of the Service, including any security or access control mechanism; or (d) reverse engineer, decompile, or disassemble the Service except to the extent permitted by applicable law.

6. Intellectual Property

The Service is owned and operated by EZ DZL. The visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service are protected by intellectual property and other laws. All materials included in the Service are the property of EZ DZL or its third-party licensors.

"EZ DZL," and other words and logos displayed on the Service constitute trademarks, trade names, or service marks of EZ DZL or other entities. You are not authorized to use any such marks without written permission.

7. User Content and Conduct

7.1 User Content

Certain features of the Service may permit users to upload content, including reviews, photos, and other materials ("User Content"). By providing User Content, you grant EZ DZL a worldwide, non-exclusive, royalty-free right and license to host, store, transfer, display, perform, reproduce, modify, and distribute your User Content.

7.2 Prohibited Conduct

BY USING THE SERVICE YOU AGREE NOT TO:

• Use the Service for any illegal purpose or in violation of any law
• Violate or encourage others to violate any right of a third party
• Interfere with security-related features of the Service
• Interfere with the operation of the Service or any user's enjoyment of it
• Perform any fraudulent activity or impersonate any person or entity
• Attempt to circumvent any technological measures we use to protect the Service

8. Fleet Services and IFTA Reporting

EZ DZL offers specialized services for fleet operators, including bulk purchasing, route optimization, transaction reporting, and IFTA (International Fuel Tax Agreement) reporting tools. Fleet services may be subject to additional terms and pricing structures.

While we provide tools to assist with IFTA reporting, you remain solely responsible for ensuring compliance with all applicable tax laws and filing requirements. EZ DZL does not provide tax advice and recommends consulting with qualified tax professionals.

9. Third Party Services

The Service may integrate with third-party services, including payment processors, mapping services, and fuel station operators. EZ DZL is not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms and conditions.

10. Communications

10.1 Text Messaging and Email

EZ DZL may send you text messages, push notifications, and emails related to your account, transactions, and promotional offers. You may opt out of marketing communications by following unsubscribe instructions or contacting support@ezdzl.com.

10.2 Phone Calls

We may call you for customer service, verification, or security purposes. You may opt out of marketing calls by contacting support@ezdzl.com.

11. Privacy and Data

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

When using the Service, you authorize EZ DZL to share transaction and account data with participating Fuel Stations and their service providers solely for the purpose of processing transactions and providing services to you.

You agree to defend, indemnify, and hold harmless EZ DZL and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or connected with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third party right.

14. Termination

EZ DZL may terminate your access to the Service at any time for any reason, with or without notice. You may terminate your account by contacting customer service at support@ezdzl.com. Upon termination, your license rights will terminate and you must cease all use of the Service.

15. Dispute Resolution and Arbitration

15.1 Binding Arbitration

Except as described below, you and EZ DZL agree that every dispute arising in connection with these Terms will be resolved by binding arbitration rather than in court. Arbitration uses a neutral arbitrator instead of a judge or jury and may allow for more limited discovery than in court.

15.2 Exceptions

Either party may bring an individual action in small claims court or seek injunctive relief to protect intellectual property rights.

15.3 No Class Actions

YOU AND EZ DZL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. General Terms

16.1 Governing Law

These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any legal proceeding must be brought in state or federal courts located in Palm Beach County, Florida.

16.2 Changes to Terms

We may modify these Terms at any time. Material changes will be posted on our website and may require your acceptance to continue using the Service.

16.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EZ DZL regarding the Service.
